Governance Lead (Corporate Governance)

About the role

AIRoA, a General Incorporated Association running large national projects, is hiring a Governance Lead (COR-201) in its Legal & Governance Department. The role acts as the first point of contact for day-to-day governance questions from divisions and field operations, keeps business momentum going while ensuring operations follow proper rules and procedures, and supports Board of Directors operations. It is described as a hands-on, full-time position.

Key responsibilities

• Receive early-stage inquiries from divisions and field operations about how to proceed, advise them against internal regulations and rules, and escalate complex external legal issues to the Legal Manager.
• Consolidate and review proposals and reporting items for the Board of Directors, deciding whether they should go to the Board or a committee or be handled by standard executive approvals.
• Help build and refine internal mechanisms such as the internal whistleblower program and compliance frameworks.
• As the role matures, expand from daily governance support to broader Board administration and enterprise-wide operations.

Required profile

• Hands-on experience in corporate planning, business planning, general affairs (Board of Directors / shareholder meeting operations), legal affairs, internal controls or PMO in a commercial company, non-profit, public agency or consulting firm, with cross-functional project delivery.
• Foundational knowledge of corporate governance rules and regulations such as the Companies Act and the General Incorporated Associations Act; article-level legal precision or a law degree is not required.
• Nice to have: experience in early-stage or greenfield organizations such as GIIAs or startups, and direct experience in general affairs, legal affairs and internal controls.
